Open Orbit Terms of Service

These Terms are a contract between you and Aries Labs LLC, a Wyoming limited liability company ("Aries Labs", "we", "us"). They govern openorbit.ing and everything you do through it (the "Site"). Please read them; they limit our liability, require individual arbitration, and describe how a mint can fail after you pay.
1. Agreement and assent
1.1 You accept these Terms by checking the acceptance box and connecting a wallet, or by otherwise using the Site. If you do not agree, do not connect a wallet and do not use the Site.
1.2 You must be at least 18 years old and able to form a binding contract. If you use the Site for an organization, you represent that you are authorized to bind it.
1.3 We may publish a revised version with a new effective date. Revisions apply prospectively from that date. If you connect a wallet after a revision, you accept the revised Terms. Material changes to Section 17 (arbitration) do not apply to a dispute you had already noticed to us before the change.
1.4 These Terms are written in English. Where the Site shows them in another language, the translation is for convenience only and the English text controls.
2. What Open Orbit is — and is not
2.1 Open Orbit is a curated launchpad for art collections that live on Bitcoin. We review artists and collections before they appear. The Site displays a collection and, when a round is open, helps your own wallet software prepare a transaction.
2.2 The Site never holds your keys, funds, or pieces. It does not sign transactions. The Site prepares an unsigned transaction for your wallet to review; your wallet software — third-party software such as Unisat or the SUBFROST browser extension — signs every transaction on your instruction. Unisat broadcasts what it signs; the SUBFROST extension does not broadcast, so our server passes the transaction it signed to the Bitcoin network unchanged. We cannot reverse, cancel, delay, or recover any transaction.
2.3 We are not a wallet, exchange, broker, dealer, custodian, money transmitter, payment processor, marketplace, or financial institution, and we do not act as your agent. Nothing on the Site is investment, legal, tax, or financial advice.
2.4 Aries Labs did not create Bitcoin, the Alkanes protocol, SUBFROST, or Unisat, is not affiliated with their authors, and does not control them. "SUBFROST", "Unisat", and other third-party names are the marks of their owners.
3. Aries Orbitals — the public round
3.1 Aries Orbitals is a collection of on-chain generative art created by Aries Labs and issued by an Alkanes contract on Bitcoin. 3,000 pieces. 3,000 offered in the public round. Pieces are numbered #0001–#3000. The contract enforces: one piece per transaction, a maximum of three pieces per wallet address, a minimum donation per piece, and the supply cap.
3.2 The minimum donation is 3,000 sats. It is the amount you send to Aries Labs' receiving address (the "Receiving Address") in the same transaction that creates your piece. It is payment for a digital collectible to a for-profit company. It is not a charitable contribution, is not tax-deductible, and is not refundable — including when the contract refuses your mint. Amounts above the minimum are voluntary, purchase nothing additional, and count only toward leaderboard standing (Section 6).
3.3 Network fees are set by your wallet, paid to Bitcoin miners on Bitcoin mainnet, are outside our control, and are never refundable by anyone.
3.4 A mint can be refused after you pay. The contract decides each mint when your transaction confirms. If your address already holds three pieces, the round has minted out, the donation is below the minimum, or the transaction is malformed, no piece is created and the sats you sent remain with the Receiving Address. The Site's pre-flight checks are a convenience that reduces this risk; they are not a guarantee, and a transaction that reaches the network in another way is judged by the contract alone.
3.5 A piece is created at an output your wallet controls, chosen by the software that built the transaction. Whoever controls that output controls the piece.
3.6 Supply counters, standings, and confirmation states shown on the Site are read from third-party chain readers, may lag the chain, may be unavailable, and are labelled by the block they were read at. The chain is the record; the Site is a view of it.
4. What a piece is
4.1 A piece is intangible personal property: a record on Bitcoin created by the collection contract, carrying art rendered by that contract. It is a digital collectible acquired for personal, consumptive purposes.
4.2 A piece is not a security, a currency, an investment, a share, a bond, a note, a derivative, or a financial product. It carries no equity, revenue share, dividend, royalty, interest, claim on Aries Labs or on any balance at the Receiving Address, redemption right, or governance right. We make no promise of value, resale, liquidity, listing on any marketplace, or any future effort by us that would affect what anyone will pay for a piece. Do not acquire a piece expecting profit.
4.3 We may build products, tools, and further collections. Nothing we do after your mint is owed to you as a holder, and no future feature, benefit, airdrop, or access is promised. Anything we offer later is offered at our discretion, may carry its own terms, and may be changed or withdrawn.
4.4 The art of each piece is generated and rendered by the contract at mint. We cannot change, replace, disable, or recall a piece or its art after the contract is deployed. Marketplaces, wallets, explorers, and indexers that display or trade pieces are third parties; how they render, list, or describe a piece is not within our control.
5. Holder rules — read before you mint
5.1 One piece per transaction. Three pieces per wallet address, enforced by the contract; the Site also refuses a fourth attempt, counting your pending mints.
5.2 A piece moves only inside a protocol-aware transaction. Spending the output that holds a piece in an ordinary transaction — a generic "send", a sweep, a consolidation, a fee-bump that consumes it — destroys the piece. Use software that understands Alkanes, and never use a generic send on a piece-bearing output. We cannot recover a destroyed piece and are not responsible for pieces destroyed by wallet operations.
5.3 Keep your keys. Losing them, sending to an address you do not control, or signing a transaction you did not intend loses the piece and any sats involved. There is no recovery.
5.4 The contract, chain, and network named on the Site are the only canonical ones. Copies of a piece on any other chain, fork, or network are not the piece and carry no license under these Terms.
6. The leaderboard and the counting rule
6.1 Standings are computed from the Receiving Address's public transaction history alone — anyone with a public block explorer can recompute them. Each transaction paying the Receiving Address is attributed to the first non-Receiving-Address output of that transaction. Donate from the wallet you minted with.
6.2 Ranking is by cumulative sats sent to the Receiving Address from any address that holds at least one Aries Orbitals piece at the time standings are computed. Ranks and addresses are shown; amounts are not displayed. Refused mints still count as donations.
6.3 Standings rank addresses, not people. We do not verify who controls an address. Divergent transaction shapes are out of scope and are attributed by the rule in 6.1 as written.
6.4 A rank is a public fact about the chain that the Site displays. It is not a right, a claim, a balance, an account, or a promise, and it may lag or be recomputed as blocks arrive or reorganize.
7. Aries Honorary
A separate 333-piece Aries Honorary collection follows, shortly after the public round mints out. It is awarded free under the Aries Honorary Rules in Part 2, which are part of these Terms. Read the conditions there: awards go to addresses, are discretionary within the published rule, may be changed or cancelled before the snapshot, have no cash value, are void where prohibited, and are taxable to the recipient.
8. Eligibility, sanctions, and where you are
8.1 You represent that you are not a person, and are not owned or controlled by a person, listed on any U.S. sanctions list (including OFAC's SDN list) or equivalent lists of the EU, UK, or UN; that you are not located in, organized under, or ordinarily resident in a jurisdiction subject to comprehensive U.S. sanctions; that you are not using the Site to evade sanctions; and that you will not transact with the Receiving Address from an address that has received property from any such person.
8.2 We make no representation that the Site, any collection, or any award is lawful or available where you are. The Site's language options exist for readability and are not an offer to, or targeting of, residents of any country. You are solely responsible for complying with the laws that apply to you, including tax, securities, and digital-asset rules. Nothing on the Site is a financial promotion or an invitation to acquire bitcoin.
8.3 We may refuse service, geoblock, decline to display an address on the leaderboard, or decline to make any award, at our discretion and without liability, including to comply with law.
9. Intellectual property and the holder license
9.1 Aries Labs owns the Aries Orbitals art, the generator, the renderer, the collection contract code, the Site, and the names and marks "Aries Labs", "Aries Orbitals", "Aries Honorary", and "Open Orbit" (the "Marks"). Owning a piece does not transfer any of that. What you receive is the license in Part 3 (the "Holder License"), which travels with the piece and ends when the piece leaves your control.
9.2 You may use the Site's software only to use the Site as intended. Do not copy, scrape at abusive rates, reverse engineer, or interfere with the Site or its API; do not misrepresent an affiliation with us; do not use the Site for anything unlawful.
9.3 Artists who submit collections grant Aries Labs a worldwide, royalty-free license to display and promote submitted material in connection with the Site, warrant that they own or have cleared every right in it, and agree to indemnify us for claims that it infringes. Curation is at our sole discretion; submission guarantees nothing.
9.4 Copyright complaints: send a notice with the elements required by 17 U.S.C. §512(c)(3) to the contact in Section 21. On-chain content cannot be altered or removed by anyone; "removal" means removal from our Site, index, and renderer. We terminate Site access for repeat infringers.
10. Privacy
Our Privacy Policy (Part 4) describes what the Site collects, what it sends to third-party chain readers, and what is public on the blockchain forever. By using the Site you acknowledge it.
11. Third-party software and services
Your wallet extension, the chain readers we query, block explorers, marketplaces, and the Bitcoin network are provided by others under their own terms. We do not warrant them, are not responsible for their availability, accuracy, fees, or conduct, and a failure of any of them — including a reader answering late, wrongly, or not at all — is not our failure.
12. Disclaimer of warranties
THE SITE, THE COLLECTIONS, EVERY PIECE, AND EVERY SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, ARIES LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION, AND ANY WARRANTY THAT A PIECE WILL RENDER, BE RECOGNIZED, OR BE TRADEABLE ON ANY THIRD-PARTY SERVICE. YOU ASSUME ALL RISK OF USING BLOCKCHAIN SOFTWARE, INCLUDING VOLATILITY, ILLIQUIDITY, KEY LOSS, PROTOCOL OR INDEXER FAILURE, CHAIN REORGANIZATION, REGULATORY CHANGE, AND TAXATION.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARIES LABS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST DIGITAL ASSETS, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THE SITE, ANY PIECE, ANY AWARD, OR THESE TERMS, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) THE SATS YOU SENT TO THE RECEIVING ADDRESS IN THE TRANSACTION GIVING RISE TO THE CLAIM AND (B) 100,000 SATS. THESE LIMITS DO NOT APPLY TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, OR TO ANY LIABILITY THAT CANNOT BE LIMITED BY LAW. THE LIMITS ARE A BARGAINED-FOR BASIS OF THESE TERMS.
14. Indemnification
You will defend, indemnify, and hold harmless Aries Labs and its members, managers, employees, contractors, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your transactions, your pieces, your breach of these Terms, your violation of law or of a third party's rights, and any material you submit. We may assume the defense of any matter subject to indemnification; you will not settle any such matter without our written consent.
15. Suspension and discontinuation
We may suspend or end your access to the Site, or discontinue the Site, at any time, with or without notice. Your pieces are on Bitcoin and are not affected by anything we do to the Site. Sections 3.2–3.4, 4, 5, 6.4, 8, 9, 12–14, 16–20 survive.
16. Governing law
These Terms and any dispute are governed by the laws of the State of Wyoming and the Federal Arbitration Act, without regard to conflict-of-laws rules. If the law of your home jurisdiction grants you consumer rights that cannot be waived by contract, those rights are preserved.
17. Dispute resolution — individual arbitration
17.1 Informal resolution first. Before starting arbitration or any court proceeding, you and we agree to send a written notice describing the dispute and the relief sought (to the contact in Section 21, or to the email you used with us) and to try in good faith to resolve it for 60 days. Limitation periods are tolled during that time.
17.2 Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator. The seat of arbitration is Wyoming; hearings may be by video or, where the rules require, in the county where you live. The arbitrator decides all issues, including arbitrability and the scope and enforceability of this Section, except that a court decides the class-action waiver in 17.4. Judgment on the award may be entered in any court with jurisdiction. Mass filings are administered under the AAA's mass-arbitration rules in force at the time.
17.3 Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or for unauthorized access to the Site.
17.4 Class-action and jury waiver. Disputes are resolved only on an individual basis. You and we waive the right to a jury trial and the right to bring or join any class, collective, consolidated, or representative action, including as a private attorney general. If this waiver is found unenforceable for a particular claim, that claim proceeds in court, and this Section applies to every other claim. This waiver is not severable from the agreement to arbitrate.
17.5 Opt-out. You may opt out of this Section by sending written notice of opt-out (with the wallet address you used) to the contact in Section 21 within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
17.6 Court venue. Any matter not subject to arbitration is brought exclusively in the state or federal courts sitting in Wyoming, and you consent to their jurisdiction.
18. Taxes
You are responsible for any sales, use, value-added, goods-and-services, income, or other tax arising from your payments, your pieces, or any award, wherever you are. Amounts you send are exclusive of tax. Aries Labs does not collect or remit taxes on your behalf.
19. General
19.1 These Terms, the Aries Honorary Rules, the Holder License, and the Privacy Policy are the entire agreement between you and Aries Labs about the Site. 19.2 If any provision is unenforceable, the rest remains in effect, subject to 17.4. 19.3 Our failure to enforce a provision is not a waiver. 19.4 You may not assign these Terms; we may assign them to a successor. 19.5 Nothing creates a partnership, joint venture, agency, or fiduciary relationship. 19.6 We are not liable for delay or failure caused by events beyond our reasonable control, including network congestion, chain reorganizations, protocol or indexer failure, third-party outages, and acts of government. 19.7 You will comply with U.S. export-control laws. 19.8 You consent to receive notices electronically by posting on the Site.
20. Accessibility
We aim to keep the Site usable by everyone. If you have difficulty using it, contact us (Section 21) and we will try to help.

Aries Honorary Rules (part of the Terms; effective September 25, 2026)
A1. What it is. Aries Honorary is a separate 333-piece collection with its own contract, created by Aries Labs. It follows shortly after the Aries Orbitals public round mints out. No date is promised.
A2. Free — no payment to Aries Labs is required to receive an Aries Honorary piece. Conditions: A3–A11.
A3. Who receives it. (a) The 300 addresses ranked highest on the Aries Orbitals leaderboard at the Snapshot, under the counting rule in Terms Section 6; and (b) 33 addresses of builders chosen by Aries Labs at its sole discretion from its builder registry. Track (b) has no entry mechanism, no ranking, and no purchase; it is a gift.
A4. Snapshot. The Snapshot is the Bitcoin block in which the transaction creating Aries Orbitals piece #3000 confirms. Standings at that block are final for track (a). Transactions in later blocks do not count.
A5. No chance. Ranking is deterministic from public chain data. Ties are broken by the block, then the transaction position, at which the tied address first reached its final cumulative total — earlier wins. No element of the award is random.
A6. Addresses, not people. Awards go to addresses. One person controlling several eligible addresses receives several pieces. We do not verify identity, substitute addresses, or transfer eligibility. Whether builder addresses are published is at our discretion.
A7. Delivery. Each award is one Aries Honorary piece delivered to the eligible address. If the contract or the network cannot deliver to an address, or an address is refused under Terms Section 8, the award for that address is forfeited and is not reassigned unless we choose to reassign it.
A8. What an award is not. An award is a digital collectible under Terms Section 4. It has no cash value, is not redeemable, is not a rebate, refund, dividend, return, or reward on any payment, and is not a security or an investment. It confers no governance or other right.
A9. Changes. Before the Snapshot we may change these Rules, the number of awards, or the criteria, or cancel the Honorary round, for any reason, by publishing a revised version. After the Snapshot, track (a) recipients are fixed by A3–A5.
A10. Eligibility. Terms Section 8 applies. Void where prohibited. Recipients are responsible for all taxes on an award; Aries Labs provides no tax reporting to recipients and cannot identify them.
A11. Our determination is final on standings, eligibility, delivery, and any dispute about these Rules, subject to Terms Section 17.
Aries Orbitals Holder License (part of the Terms; effective September 25, 2026)
B1. Ownership. You own your piece as personal property — you may hold, sell, and transfer it. Aries Labs owns the copyright in the art and everything in Terms 9.1. This License is what lets you use the art.
B2. Grant. For as long as the Bitcoin blockchain shows a piece at an output you control (the "Term"), Aries Labs grants you a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, adapt, and make derivative works of the art of that piece, for personal and commercial purposes, and to sublicense those rights to service providers helping you do so. There is no revenue cap.
B3. Limits. The License covers the whole composition of your piece, not extracted traits or the generator. It grants no right in the Marks, in the names "Aries Orbitals", "Aries Honorary", "Aries Labs", or "Open Orbit", in the collection's trade dress, or in any other piece. You may not use the art to promote hate, violence, illegal activity, or to suggest that Aries Labs endorses you or your products. You may not mint the art, or any substantially similar image, as a new token that could be mistaken for a piece.
B4. Derivatives. You own derivative works you create during the Term. Aries Labs keeps the copyright in the underlying art. We may create works similar to yours, and you covenant not to sue us for that.
B5. Transfer. The License ends automatically when the piece leaves your control. Works you published during the Term may remain published, and inventory you made may be sold off, but no new works or inventory after the Term. The next holder receives the same License.
B6. License-back. You grant Aries Labs a perpetual, irrevocable, royalty-free license to display and use the art of your piece to present and promote the collection as a whole.
B7. Versions. The current version at the URL published on the Site controls. Changes apply prospectively and will not narrow the rights of pieces already minted.
B8. No warranty. The art is licensed "as is"; Terms Sections 12–13 apply.
